1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and ADEC Nova LLC (“ADEC Nova,” “we,” “us,” or “our”), a limited liability company incorporated in Virginia, United States. By accessing our website at adecnova.app or using any of our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Description of Services

ADEC Nova provides vertical software-as-a-service (SaaS) applications for Latino-owned service businesses in the United States. Our services include online booking systems, client relationship management (CRM), AI-powered assistants (web chat and WhatsApp), appointment scheduling, payment processing, staff management, marketing tools, and administrative dashboards. Services are provided on a subscription basis with plans as described on our pricing page.

3. Account Registration

To access certain features, you must create an account. You agree to: (a) provide accurate and complete registration information; (b) maintain the security of your credentials; (c) notify us immediately of any unauthorized access to your account; and (d) be responsible for all activity that occurs under your account. You must be at least 18 years old to create an account. One person or entity may not maintain more than one account without our written permission.

5. Subscriptions and Payments

Our services are offered on a monthly subscription basis. Subscription fees are billed in advance on a monthly cycle. All fees are in US dollars and are non-refundable except as expressly stated. We reserve the right to change pricing with 30 days’ notice to active subscribers. Failure to pay may result in suspension or termination of your account. Payments are processed by Stripe, Inc., subject to their terms.

6. Trial Period

New accounts may be offered a free trial period as indicated at time of registration. Upon expiration of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We reserve the right to modify or discontinue the trial offer at any time.

7. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act.
• Send spam, unsolicited messages, or bulk communications without recipient consent.
• Transmit harassing, abusive, defamatory, or obscene content.
• Impersonate any person or entity, or misrepresent your affiliation.
• Attempt to gain unauthorized access to our systems or other users’ accounts.
• Use our services for any unlawful purpose or to facilitate illegal activity.
• Reverse engineer, decompile, or disassemble any part of our software.

8. Intellectual Property

All content, software, trademarks, and intellectual property on our platform are owned by ADEC Nova LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to use our services for your internal business purposes during the term of your subscription. Nothing in these Terms transfers any intellectual property rights to you.

9. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for obtaining all necessary consents from your clients before collecting their data through our platform, including consent to receive SMS communications where applicable.

10. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF OUR SERVICES IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADEC NOVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Termination

Either party may terminate the subscription at any time. You may cancel through your account settings or by contacting us. We may terminate or suspend your account immediately for material breach of these Terms, non-payment, or conduct that poses risk to our platform or other users. Upon termination, your right to use our services ceases immediately.

13. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Fairfax County, Virginia, except that either party may seek injunctive relief in court for intellectual property violations. You waive the right to participate in class action lawsuits.

14. Changes to Terms

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice on our website. Continued use of our services after the effective date of changes constitutes acceptance of the updated Terms.
